2. Quotes and Pricing
Unless otherwise stated, prices are expressed in United States Dollars (USD).
Quotes are valid through the expiration date stated on the quote. Hardware, software, licensing, subscription, shipping, and other third-party pricing may change if vendor or distributor pricing changes before an order is accepted and finalized.
Taxes, shipping, duties, vendor fees, and other applicable charges may be added when required.
3. Payment Terms
Payment is due according to the terms displayed on the applicable quote, invoice, statement of work, purchase order, or contract.
MaryBelle generally accepts approved electronic payment methods, including ACH and credit card where available. ACH may be preferred for higher-value business transactions.
Certain engagements may require:
Full prepayment
A retainer or deposit
Milestone payments
Recurring monthly payments
Payment before hardware, software, or licensing is ordered
MaryBelle may delay the start of services or placement of vendor orders until required payments, deposits, purchase orders, or other authorizations have been received and verified.
4. Deposits and Retainers
A deposit or retainer may be required before MaryBelle reserves resources, begins work, or incurs third-party costs.
Retainers may be applied to subsequent invoices according to the applicable agreement.
Cancellation and refund treatment for deposits and retainers is described in MaryBelle's Refund and Cancellation Policy and any customer-specific agreement.
5. Recurring Services
Recurring or managed services may be billed in advance.
The applicable agreement will identify:
Initial service term
Billing frequency
Renewal terms
Cancellation requirements
Services included
Services excluded
Applicable overage or out-of-scope charges
Where applicable law requires automatic-renewal disclosures, notices, acknowledgments, or specific cancellation methods, MaryBelle will provide them.
6. Hardware and Physical Products
Hardware availability, shipping dates, and delivery estimates may depend on manufacturers, distributors, carriers, and other third parties.
MaryBelle does not guarantee product availability until the applicable vendor or distributor confirms the order.
Special-order, configured, opened, activated, or vendor-designated non-returnable products may not be eligible for cancellation or return.
Manufacturer warranties generally apply according to the manufacturer's terms.
7. Software, Licensing, and Subscriptions
Software, licenses, cloud subscriptions, maintenance agreements, and other vendor services may be subject to additional publisher or vendor terms.
Once a license or subscription has been provisioned, activated, assigned, or otherwise committed by the applicable vendor, it may become non-refundable.
Renewal and cancellation requirements established by the applicable publisher or vendor may also apply.
8. Customer Responsibilities
Customers agree to provide information, access, approvals, personnel, credentials, documentation, equipment, and other resources reasonably necessary for MaryBelle to perform the agreed work.
Customers are responsible for:
Providing accurate information
Maintaining appropriate backups where applicable
Obtaining required licenses and permissions
Making timely decisions and approvals

Using products and services lawfully
Delays caused by unavailable customer resources or approvals may affect delivery schedules.
9. Changes in Scope
Work requested outside the approved scope may require:
A change order
Additional quote
Additional engineering time
Additional fees
Revised delivery dates
MaryBelle will obtain appropriate authorization before undertaking material out-of-scope work.
10. Taxes
MaryBelle will collect applicable taxes where required by law.
Customers claiming tax-exempt status may be required to provide valid exemption documentation before tax is removed from a transaction.
11. Confidentiality and Customer Information

Except for commitments expressly stated in a written agreement, MaryBelle does not guarantee that every technology product, third-party service, system, or solution will operate without interruption or error.
15. Limitation of Liability

Unless otherwise required by an executed government contract or other written agreement, these Terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-law principles.
